Who Owns Chipotle?
Who owns Chipotle has a short answer and an interesting one. The short answer is shareholders, because it is a public company with no parent and no controlling family. The interesting part is that for seven years it was majority-owned by McDonald’s, which at the point of Chipotle flotation controlled about 87 percent of the voting power, and then walked away from all of it.

No single person or company owns Chipotle. It trades on the New York Stock Exchange as CMG and has no parent. Its largest disclosed holders are institutional investors — Vanguard at 11.25% and Capital World Investors at 7.92% per the 2026 proxy. All directors and executives combined hold just 0.45%. McDonald’s exited fully in October 2006.
- Publicly traded on the NYSE as CMG, with no parent company.
- Vanguard 11.25% and Capital World Investors 7.92% per the 2026 proxy.
- Directors and executives hold 0.45% between all fifteen of them.
- McDonald’s held ~87% of voting power after the 2006 IPO.
- McDonald’s exited completely effective 12 October 2006.
- 1,265,418,000 shares outstanding as of 24 July 2026.
The Short Answer
Chipotle is owned by its shareholders. It is an independent public company trading on the New York Stock Exchange under the ticker CMG, incorporated in Delaware on 30 January 1998, with no parent company.
There is no controlling individual or family, and the figure that demonstrates it is in Chipotle own proxy statement: all directors and executive officers as a group — fifteen people — held just 0.45 percent of outstanding shares as of 15 April 2026.
The Largest Shareholders
Chipotle discloses holders of more than 5 percent in its annual proxy statement. From the 2026 filing, against a base of 1,285,398,159 shares as of 15 April 2026:
| Holder | Shares | Stake |
|---|---|---|
| The Vanguard Group, Inc. | 144,587,720 | 11.25% |
| Capital World Investors | 101,787,624 | 7.92% |
| All directors and executive officers (15 people) | — | 0.45% |
Two caveats are worth carrying, because this is the kind of figure other pages state too confidently.
- The Vanguard figure has a disclosed complication. Chipotle proxy itself notes that a later Vanguard filing in March 2026 reported owning zero shares as of October 2026, following an internal reorganisation that disaggregated beneficial-ownership reporting across its subsidiaries. The holding did not disappear; how it is reported changed.
- BlackRock is not listed as a holder of more than 5 percent in the 2026 proxy. Pages that name it as a top Chipotle shareholder are not drawing on that filing.
Historically the register has included activist investors. Pershing Square Capital Management was believed to be Chipotle largest shareholder in late 2016 and nominated two of the four directors appointed that December, in the aftermath of the food safety crisis. That episode is covered on our history guide.
The McDonald’s Years
This is the part of the ownership story most people have half-heard, and the real figures are more striking than the summary.
- 1998 — McDonald’s begins a series of equity investments in Chipotle.
- September 1999 — Chipotle becomes a subsidiary of McDonald’s, which acquires a controlling stake.
- January 2006 — Chipotle floats. Immediately afterwards McDonald’s still holds shares representing about 87 percent of the combined voting power and about 65 percent of the economic interest.
- May 2006 — McDonald’s sells more in a secondary offering.
- 12 October 2006 — McDonald’s disposes of its remaining interest through an exchange offer to its own shareholders. The separation is complete.
The practical significance is that McDonald’s capital funded Chipotle expansion from a few dozen restaurants to several hundred, and the voting-power figure explains why Chipotle was effectively a McDonald’s subsidiary at the point it went public. Chipotle has been fully independent for two decades since.
Is Chipotle a Franchise?
Mostly no, and this is genuinely unusual at its scale. Chipotle owns and operates every restaurant itself in the United States, Canada and Europe, and describes itself as the only restaurant company of its size that does so.
Outside those markets it uses partners:
- Alshaya Group — Kuwait, the United Arab Emirates, Qatar and Saudi Arabia.
- Alsea, S.A.B. de C.V. — Mexico, from July 2026.
- Sangmidang Holdings — South Korea, through a joint venture, from September 2026.
As of 30 June 2026 that amounted to 15 partner-operated restaurants out of 4,201 — under half a percent of the estate. Country detail is on our countries guide.
The Stock Split That Confuses Everyone
Chipotle carried out a 50-for-1 stock split on 26 June 2024, and it is worth knowing about because it makes older figures look wrong when they are not.
Before the split, Chipotle traded in the high hundreds or low thousands of dollars per share with roughly 27 million shares outstanding. After it, there are 1,265,418,000 shares as of 24 July 2026 and a correspondingly smaller price. The company is the same size; the units changed.
Chipotle has also been buying its own shares back steadily, which is why the count is falling: $630.7 million repurchased in the second quarter of 2026 at an average of $32.55 per share, with $1.7 billion of authorisation remaining at the end of June.

Frequently Asked Questions
Who owns Chipotle Mexican Grill?
Its shareholders. Chipotle is an independent public company trading on the New York Stock Exchange under the ticker CMG, with no parent company and no controlling individual or family. Its largest disclosed holders are institutional investment managers, and all directors and executive officers together held only 0.45 percent of shares as of October 2026.
Does McDonald’s own Chipotle?
No, and it has not since 2006. McDonald’s began investing in 1998 and acquired a controlling stake in September 1999, holding roughly 87 percent of the combined voting power immediately after Chipotle’s January 2006 flotation. It sold down through that offering and a May 2006 secondary, then disposed of its remaining interest through an exchange offer to its own shareholders, effective 12 October 2006.
Who is Chipotle’s largest shareholder?
According to Chipotle’s 2026 proxy statement, The Vanguard Group held 144,587,720 shares, or 11.25 percent, as of its January 2026 filing. The proxy itself notes a complication: a later Vanguard filing in March 2026 reported zero shares following an internal reorganisation that split beneficial-ownership reporting across its subsidiaries. Capital World Investors held 7.92 percent.
Is Chipotle a franchise?
Not in the United States, Canada or Europe, where Chipotle owns and operates every restaurant itself — it describes itself as the only restaurant company of its size to do so. Outside those markets it works with partners: Alshaya Group in the Middle East, Alsea in Mexico and Sangmidang Holdings in South Korea. Fifteen restaurants were partner-operated as of October 2026.
Who founded Chipotle and does he still own it?
Steve Ells founded Chipotle in 1993. He stepped down as chief executive in November 2017 and resigned as chairman of the board on 6 March 2020, so he no longer has a management or board role. He is not listed among holders of more than 5 percent in the 2026 proxy statement.
How many Chipotle shares are there?
1,265,418,000 as of 24 July 2026, and the number is falling because Chipotle buys back stock — it repurchased $630.7 million of shares in the second quarter of 2026 alone, at an average of $32.55 per share. The count is large because Chipotle carried out a 50-for-1 stock split in June 2024.
Methodology
Company figures, leadership, ownership, restaurant counts and historical detail on this page are taken from Chipotle filings with the Securities and Exchange Commission, from Chipotle company press releases and from chipotle.com, all checked in October 2026. Where a figure is derived from Chipotle own store directory rather than published by the company, this page says so. Where Chipotle does not publish something, that is stated rather than filled in from third-party sources. Company data changes with each quarterly report; confirm current figures in Chipotle latest filing.
